Terms & Conditions

Welcome to Mux Foods.

These Terms & Conditions govern business dealings, distributor relationships, orders, supplies, payments, deliveries, website use, and other commercial interactions with Mux Foods.

By placing an order, requesting supply, becoming an approved distributor, using our website, or otherwise conducting business with Mux Foods, you agree to these Terms & Conditions.

1. Business Model

Mux Foods primarily supplies products through distributors, wholesalers, retailers, and approved business partners.

Our standard commercial terms are intended for business-to-business transactions and are not designed as consumer retail terms unless specifically stated otherwise.

2. Distributor Approval

Becoming a distributor of Mux Foods may be subject to approval.

Mux Foods may request information including:

  • Business name
  • Owner or authorized representative details
  • Contact information
  • Business location
  • Distribution area
  • Relevant registration or identification information
  • Existing market coverage
  • Other information reasonably required for distributor evaluation

Mux Foods reserves the right to approve or decline a distributor application at its discretion.

3. Orders

Orders may be accepted through authorized sales representatives, official communication channels, approved distributors, or other methods designated by Mux Foods.

All orders are subject to:

  • Product availability
  • Applicable minimum order quantities
  • Confirmed pricing
  • Distributor status
  • Payment or credit arrangements
  • Delivery feasibility
  • Final confirmation by Mux Foods

An inquiry, quotation, or order request does not automatically constitute acceptance of an order.

4. Order Confirmation

An order will be considered confirmed when accepted by Mux Foods through an invoice, order confirmation, authorized representative, or another official business communication.

Mux Foods may decline, modify, suspend, or limit an order where reasonably necessary due to stock availability, production capacity, outstanding payments, delivery limitations, compliance concerns, or other operational requirements.

5. Product Availability

Products are supplied subject to availability.

Mux Foods does not guarantee continuous availability of every product, flavour, packaging format, size, or quantity.

We may discontinue, replace, modify, or temporarily suspend products without prior public notice.

6. Pricing

Product prices may depend on factors including:

  • Order quantity
  • Product type
  • Packaging
  • Distributor category
  • Delivery location
  • Transportation costs
  • Taxes
  • Market conditions
  • Promotional arrangements
  • Commercial agreements

Mux Foods may revise its prices when necessary.

Unless otherwise agreed in writing, the price applicable to an order will be the price confirmed by Mux Foods at the time the order is accepted.

7. Taxes & Charges

Prices may be exclusive or inclusive of applicable taxes depending on the quotation, invoice, or commercial arrangement.

Distributors are responsible for applicable taxes, duties, transportation charges, or other costs where these are stated as payable by the distributor.

8. Payment Terms

Mux Foods may accept multiple payment methods according to the distributor's approved commercial arrangement.

Available methods may include bank payments, digital payments, cash, or other payment channels approved by Mux Foods.

Payment requirements may include:

  • Advance payment
  • Full payment before dispatch
  • Partial advance payment
  • Approved credit terms
  • Payment upon agreed milestones
  • Other mutually agreed payment arrangements

The applicable payment terms will be stated in the invoice, quotation, distributor agreement, or other official confirmation.

9. Credit Facilities

Credit facilities are not automatically available to distributors.

Any credit period or credit limit must be specifically approved by Mux Foods.

Mux Foods may review, reduce, suspend, or withdraw a distributor's credit facility based on payment history, outstanding balances, business risk, or other reasonable commercial considerations.

10. Late & Outstanding Payments

Distributors are responsible for making payments within the agreed period.

Where an account becomes overdue, Mux Foods may:

  • Suspend further supplies
  • Put pending orders on hold
  • Withdraw credit facilities
  • Request immediate settlement
  • Adjust future commercial terms
  • Take reasonable recovery action where necessary

Any applicable late-payment charge or other financial term must be communicated or agreed separately where required.

11. Delivery

Mux Foods will make reasonable efforts to deliver confirmed orders within the expected timeframe.

Delivery dates and times are generally estimates unless specifically guaranteed in writing.

Delivery may be affected by:

  • Production schedules
  • Stock availability
  • Transportation conditions
  • Weather
  • Road conditions
  • Public holidays
  • Operational disruptions
  • Government restrictions
  • Events beyond reasonable control

Mux Foods shall not be responsible for reasonable delays caused by circumstances outside its control.

12. Transportation & Freight

Transportation, loading, unloading, freight, and delivery charges will be handled according to the commercial arrangement applicable to each order.

Responsibility for goods during transportation may depend on whether delivery is arranged by Mux Foods, the distributor, or a third-party logistics provider.

13. Inspection Upon Delivery

Distributors should inspect goods at the time of delivery or as soon as reasonably possible afterward.

The distributor should verify:

  • Product quantities
  • Packaging condition
  • Product type
  • Batch information where applicable
  • Visible damage
  • Delivery accuracy

Any visible shortage, damage, or incorrect supply should be reported promptly to Mux Foods.

14. Claims

Claims relating to damaged, defective, short, or incorrectly supplied products should be submitted within a reasonable period after delivery.

Mux Foods may request:

  • Invoice details
  • Batch number
  • Product photographs
  • Quantity affected
  • Delivery information
  • Supporting documentation
  • Physical product inspection

Claims will be assessed individually based on available evidence and applicable commercial arrangements.

15. Returns

Due to the nature of food products, goods are generally not returnable merely because:

  • The distributor ordered excess stock
  • Demand was lower than expected
  • The distributor changed its purchasing decision
  • Products did not sell within the distributor's preferred period

Returns may be considered where products are confirmed to be:

  • Defective
  • Damaged before acceptance
  • Incorrectly supplied
  • Otherwise eligible under an approved commercial arrangement

No goods should be returned without prior authorization from Mux Foods.

16. Replacements & Adjustments

Where a valid claim is accepted, Mux Foods may, depending on the circumstances:

  • Replace affected products
  • Issue an appropriate adjustment
  • Provide account credit
  • Offer another commercially reasonable resolution

The appropriate resolution will be determined after verification of the claim.

17. Product Quality

Mux Foods is committed to maintaining consistent product quality and appropriate production and handling standards.

Minor variations that are normal for food products, manufacturing, packaging, printing, colour, or ingredients shall not automatically constitute a product defect where the product remains suitable and compliant with applicable specifications.

18. Storage & Handling

After delivery, distributors are responsible for storing and handling products appropriately.

Distributors should follow:

  • Product storage instructions
  • Expiry or best-before information
  • Appropriate temperature requirements
  • Clean and hygienic storage practices
  • Stock rotation procedures
  • Suitable transportation and handling conditions

Mux Foods shall not be responsible for deterioration or damage caused after delivery by improper storage, mishandling, contamination, repackaging, or unsuitable transportation conditions outside our control.

19. Expiry & Stock Rotation

Distributors are responsible for managing inventory appropriately and following proper stock rotation practices.

Products should not be sold after their applicable expiry or use-by date.

Where relevant, distributors should follow the First Expired, First Out (FEFO) or another appropriate stock-management practice.

20. Resale of Products

Distributors must sell Mux Foods products responsibly and in compliance with applicable requirements.

Products must not be:

  • Tampered with
  • Misrepresented
  • Adulterated
  • Repacked without authorization
  • Relabeled without authorization
  • Sold as another brand
  • Altered in a manner that could affect product quality or safety

21. Distributor Independence

Unless otherwise agreed in writing, distributors operate as independent businesses.

A distributor is not automatically an employee, legal representative, franchisee, agent, partner, or joint venture partner of Mux Foods.

No distributor may enter into contractual commitments on behalf of Mux Foods without express written authorization.

22. Territory & Exclusivity

No distributor is granted an exclusive territory, market, city, district, province, or customer category unless exclusivity is expressly confirmed under a separate written agreement.

Mux Foods reserves the right to appoint additional distributors or sell within any market unless otherwise contractually agreed.

23. Use of Mux Foods Brand

The Mux Foods name, logo, product names, packaging, designs, photographs, promotional materials, trademarks, and other brand assets remain the property of their respective owner.

Authorized distributors may use approved Mux Foods branding solely for legitimate promotion and sale of genuine Mux Foods products.

24. Brand Restrictions

Without prior authorization, distributors must not:

  • Modify the Mux Foods logo
  • Create misleading promotional materials
  • Register domains or social-media accounts using the Mux Foods name
  • Present themselves as the owner of Mux Foods
  • Produce counterfeit packaging
  • Alter product labels
  • Make unauthorized claims regarding Mux Foods products
  • Use Mux Foods intellectual property for unrelated products or services

Mux Foods may require unauthorized branding or promotional content to be removed.

25. Product Representation

Distributors and business partners must represent Mux Foods products accurately.

No distributor may make false, exaggerated, misleading, medical, nutritional, or performance claims that have not been officially authorized by Mux Foods.

26. Marketing Materials

Mux Foods may provide authorized product photographs, logos, promotional content, catalogues, posters, digital assets, or other marketing material.

These materials may only be used for legitimate promotion of Mux Foods products and may remain subject to brand guidelines.

27. Website Use

Visitors may use the Mux Foods website for lawful purposes including:

  • Reviewing company information
  • Viewing products
  • Making business inquiries
  • Contacting Mux Foods
  • Seeking distributor information
  • Submitting authorized forms

Users must not attempt to interfere with the website, access restricted systems, introduce malicious software, misuse website content, or perform unauthorized automated activity.

28. Website Information

Mux Foods seeks to keep information on its website accurate and current.

However, website content relating to:

  • Prices
  • Products
  • Packaging
  • Availability
  • Specifications
  • Promotional campaigns
  • Distributor arrangements

may change without notice.

Final commercial terms will be those confirmed directly by Mux Foods for the relevant transaction.

29. Intellectual Property

Unless otherwise stated, content available through the Mux Foods website and official marketing channels—including text, graphics, branding, photographs, designs, product presentation, and other materials—is protected by applicable intellectual-property rights.

Unauthorized reproduction or commercial use is prohibited.

30. Confidential Business Information

Distributors may receive non-public commercial information including:

  • Price lists
  • Distributor pricing
  • Credit arrangements
  • Sales strategies
  • Product plans
  • Promotional arrangements
  • Internal business information

Such information should be treated as confidential where its nature or circumstances reasonably indicate confidentiality.

31. Fraud & Misrepresentation

Mux Foods reserves the right to suspend or terminate dealings with any distributor or business partner suspected of:

  • Fraud
  • Counterfeiting
  • Payment misconduct
  • Unauthorized brand use
  • Material misrepresentation
  • Illegal activity
  • Deliberate product tampering
  • Conduct that may materially harm Mux Foods or its customers

32. Suspension or Termination of Distribution

Mux Foods may suspend or end a distributor relationship where reasonably necessary, including for:

  • Repeated late payments
  • Unpaid balances
  • Fraud
  • Brand misuse
  • Product tampering
  • Material breach of agreed terms
  • Misrepresentation
  • Serious customer complaints
  • Conduct damaging to the Mux Foods brand
  • Applicable legal or regulatory concerns

Outstanding payment obligations remain payable after termination.

33. Third-Party Services

Mux Foods may use independent third parties for logistics, banking, payments, technology, communications, and other business services.

Mux Foods shall not be responsible for an independent third party's conduct beyond the extent required under applicable law or an applicable contractual obligation.

34. Limitation of Liability

To the extent permitted under applicable law, Mux Foods shall not be liable for indirect, incidental, special, or consequential business losses resulting from circumstances outside its reasonable control.

Any liability arising from a particular supply or product issue will be assessed according to:

  • The circumstances
  • Supporting evidence
  • Applicable law
  • The relevant invoice
  • Agreed commercial terms
  • Any separate written distributor agreement

Nothing in these Terms is intended to exclude liability that cannot lawfully be excluded.

35. Force Majeure

Mux Foods shall not be considered in breach of its obligations where performance is prevented or materially delayed by circumstances beyond reasonable control.

Such circumstances may include:

  • Natural disasters
  • Floods
  • Fire
  • War or civil disturbance
  • Strikes
  • Transportation disruption
  • Utility outages
  • Government restrictions
  • Public-health emergencies
  • Supply-chain disruption
  • Shortages of raw materials
  • Other comparable events beyond reasonable control

36. Compliance with Law

Distributors are responsible for conducting their own business operations in accordance with applicable laws, tax obligations, licensing requirements, food-handling requirements, and other regulatory obligations relevant to their activities.

37. Separate Agreements

Mux Foods may enter into separate written arrangements relating to:

  • Distribution
  • Territory
  • Exclusivity
  • Credit
  • Pricing
  • Marketing
  • Supply
  • Promotion
  • Rebates
  • Commercial incentives

Where a properly authorized written agreement conflicts with these general Terms & Conditions, the specific written agreement will take precedence for the matter covered by that agreement.

38. Privacy

Information provided to Mux Foods is handled according to the Mux Foods Privacy Policy and applicable requirements.

Users and distributors are encouraged to review the Privacy Policy available on our website.

39. Changes to These Terms

Mux Foods may revise these Terms & Conditions periodically to reflect changes in:

  • Business operations
  • Products
  • Distribution arrangements
  • Commercial practices
  • Website functionality
  • Applicable requirements

The latest version published through our official website will indicate its effective date.

40. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by the applicable laws of Pakistan.

Any dispute that cannot be resolved through normal business discussions shall be handled through the appropriate legal forum having jurisdiction under applicable Pakistani law.
